3.2 Consulting Services
We offer professional consulting services, including:
- AI strategy and roadmap development
- Implementation and integration services

- Ongoing support and optimization
Consulting services are subject to separate Statements of Work ("SOW") or service agreements that will govern the specific terms, deliverables, timelines, and fees for such engagements.
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes that may affect their use of the Services.
4. License and Use Rights
4.1 License Grant

"AgenticWork," the AgenticWork logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AgenticWork or its affiliates. You may not use such marks without our prior written permission.

You retain ownership of any content, data, or materials you submit, post, or display through the Services ("Your Content"). By submitting Your Content, you grant AgenticWork a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving our Services.
6.4 Feedback
If you provide feedback, suggestions, or ideas about our Services ("Feedback"), you grant us the right to use such Feedback without restriction or compensation. You agree that AgenticWork may use your Feedback for any purpose, including developing new features or services.

We may change our prices at any time. Price changes for subscription services will take effect at the start of the next billing cycle after notice is provided.
9. Third-Party Services and Links

10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, AgenticWork disclaims all warranties, including but not limited to:
- Implied warranties: warranties of merchantability, fitness for a particular purpose, and non-infringement
- Accuracy: warranties regarding the accuracy, reliability, or completeness of content or results
- Availability: warranties that the Services will be uninterrupted, secure, or error-free
- AI outputs: warranties regarding the accuracy, appropriateness, or reliability of AI-generated content or recommendations
You understand and agree that AI systems may produce inaccurate, inappropriate, or unexpected outputs. You are solely responsible for reviewing and validating any AI-generated content before use.
11. Limitation of Liability
To the maximum extent permitted by law:
11.1 Exclusion of Damages
In no event shall AgenticWork, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
11.2 Liability Cap
In no event shall our total liability to you for all claims exceed the greater of (a) the amount you paid to AgenticWork in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
11.3 Basis of the Bargain
The limitations and exclusions in this section reflect a reasonable allocation of risk and are a fundamental basis of the agreement between you and AgenticWork. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
12. Indemnification
You agree to defend, indemnify, and hold harmless AgenticWork, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your Content or data you provide through the Services
- Any misrepresentation by you
13. Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13.2 Informal Resolution
Before filing any legal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
13.3 Arbitration Agreement
If informal resolution is unsuccessful, you and AgenticWork agree to resolve any disputes through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, unless otherwise agreed.
13.4 Class Action Waiver
You and AgenticWork agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
13.5 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
14. Termination
14.1 Termination by You
You may terminate your account and stop using our Services at any time by contacting us at [email protected] or through your account settings.
14.2 Termination by AgenticWork
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
14.3 Effect of Termination
Upon termination:
- Your right to use the Services will immediately cease
- We may delete your account and associated data
- You remain liable for any amounts owed
- Sections that by their nature should survive will remain in effect (including intellectual property, disclaimers, limitations of liability, and dispute resolution)
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable SOW or service agreements, constitute the entire agreement between you and AgenticWork regarding the Services.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.5 Force Majeure
Neither party will be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, or government actions.
